Hong Kong: The board of directors of Kingway Brewery Holdings Limited (formerly known as “Guangdong Brewery Holdings Limited”) announced on July 22 2004 that, with effect from 1 July 2004, the name of the Company has been changed to “Kingway Brewery Holdings Limited”, further to the announcement dated 19 May 2004 and the circular dated 21 May 2004. The Company will change its stock trading name to “KINGWAY BREW” from “GUANGDONG BREW” with effect from 26 July 2004.

The change of name of the Company was approved by the shareholders of the Company by way of a special resolution at the annual general meeting on 15 June 2004. The new name was registered on 1 July 2004 and the Certificate of Incorporation on Change of Name in respect of this change was issued by the Registrar of Companies in Bermuda on 5 July 2004. On 20 July 2004, the Companies Registry in Hong Kong has issued a Certificate of Registration of Change of Name of Oversea Company regarding the change of name, confirming that the Company is now registered in Hong Kong under Part XI of the Companies Ordinance under the name of “Kingway Brewery Holdings Limited”.

The company mentioned that the change of name would not affect any of the rights of the shareholders of the Company. All the existing share certificates in issue bearing the former name of the Company will continue to be evidence of title to the shares in the new name of the Company and will continue to be valid for trading, settlement, delivery and registration purposes on The Stock Exchange of Hong Kong Limited (the “Stock Exchange”). There will be no arrangement for the exchange of share certificates in the former name of the Company for new share certificates issued in the new name of the Company. From 20 July 2004, new share certificates will be issued in the new name of the Company.
