Brewing news USA: Pyramid Breweries reports changes in the Board of Directors’ composition

Pyramid Breweries Inc. announced that, effective at the Annual Shareholders Meeting on May 23rd, Lee Andrews resigned from the Board of Directors and Jurgen Auerbach was elected to the Board of Directors, according to Businees Wire, May 25. Total membership on the Board of Directors remains at seven directors, which was expanded with the addition of David Rostov announced earlier in the year. Mr. Rostov was appointed to chair the Audit Committee effective March 16, 2007.

Mr. Andrews was appointed to the Board of Directors on July 28, 2005, and also served as Chairman of the Audit Committee. “His extensive knowledge of public finance and accounting made a significant contribution to the Board and to the Company during his tenure,” stated George Hancock, Chairman of the Board of Directors. “The demands on public companies have grown significantly over the past few years due to the Sarbanes-Oxley Act of 2002, and Pyramid has been fortunate to have in Mr. Andrews an Audit Committee chair who has helped the Company meet the challenges imposed by higher regulatory standards. I speak for the Board and Company's management in extending our sincere thanks for his service and our best wishes for his future.”

Additionally, Jurgen Auerbach was appointed to the Board of Directors. Mr. Auerbach served as the Chief Financial Officer of Ghirardelli Chocolate Company, a manufacturer of premium chocolates, from May 2000 through June 2006. Prior to joining Ghirardelli, he served as the Corporate Controller of Lindt & Sprungli Group in Zurich, Switzerland. Mr. Auerbach earned his MBA equivalent degree in Finance and Business Management at the University of Zurich, Switzerland, and his BA equivalent degree at the Winterthur School of Business in Switzerland. Mr. Auerbach serves on the boards of several business associations.
