Brewing news Japan: Kirin Brewery Company to adopt a new holding system

On July 1, 2007 Kirin Brewery Company, Limited ("Kirin") will adopt a holding company system, to facilitate the quantum leap in growth envisioned in its long-term operating framework "Kirin Group Vision 2015" ("KV2015"), according to company’s press release of February 7.

Kirin has now determined the profiles and internal structures of the companies to be formed by business separations, and on March 28 will implement preliminary structural revisions. The new Group structure is being put in place as Kirin begins working towards the goals of KV2015 Stage I, the new medium-term business plan launched in 2007.

1. The new structure to be adopted from July 1, 2007

Kirin will launch the new holding company, Kirin Holdings Company, Limited (president: Kazuyasu Kato) on July 1, 2007, along with the following companies to be created through business separation:

・ The domestic alcohol business company Kirin Brewery Company, Limited (president: Senji Miyake)
・ The pharmaceuticals business company Kirin Pharmaceutical, Limited (president: Katsuhiko Asano)
・ The shared group services company Kirin Business Expert Company, Limited (president: Mamoru Yokomatsu).

The corporate profiles of each of these companies − including their presidents, headquarters and capitalizations − have now been decided, along with their internal organizations.

Kirin Group subsidiaries such as Kirin Beverage, Limited and Mercian Corporation will be positioned under the holding company in parallel with the newly separated and wholly owned businesses Kirin Brewery Company, Kirin Pharmaceutical, Limited and Kirin Business Expert Company, as the Group aims for a quantum leap in growth.

In governing the Group, the roles and responsibilities of the holding company and the operating companies will be made clear and the independence and mobility of each operating company enhanced, while the holding company seeks to create a group premium and generate a quantum leap in growth. Directors at the holding company will not concurrently have roles as directors of operating companies, meaning that directors at operating companies will be responsible for business management decisions.

When launched on July 1, the holding company will comprise ten departments*: The Corporate Planning Department; the Strategy Planning Department; the Strategic Research and Development Department; the Intellectual Property Department; the CSR Management Department; the Corporate Communications Department; the Personnel and Administration Department; the Legal Department; the Quality Assurance Department; and the Internal Audit Department.

2. Partial reorganization of structure on March 28, 2007

In anticipation of the introduction of the new business structure in July, certain parts of Kirin Brewery's organization will be revised on March 28. The International Beer, Wine and Spirits internal company will be discontinued and, until the launch of the holding company, Group companies overseas will come under the control of Group headquarters. The real estate Business Division will also be discontinued, with most of its business being transferred to Kirin Building Management Co., Ltd. (currently headed by Nobuyuki Takizawa), which will be renamed as Kirin Real Estate Co., Ltd. (president: Yoshiaki Kiyose). Further, the Information Planning Department will be discontinued and the majority of its operations will be transferred to Kirin Business System Co., Ltd. (president: Makoto Hasegawa). As the first step towards the transfer to the ten-department system that will be launched with the holding company in July, the current structure at Group headquarters will be streamlined to form 14 departments.

In order to realize the goals of KV2015, the Kirin Group intends to raise corporate value through a quantum leap in growth and the creation of a Group premium. Under the slogan Taste that makes you smile, Kirin is striving to form close ties with its customers and deliver to them the happiness of food and health.
